What counts, and what is left out
- Open-market purchases (code P) and sales (code S) of common stock reported on Form 4. Code P also covers buying in an offering or a private placement; the filing does not tell them apart.
- “Officers & directors” are people who are an officer or director of the company. “Everyone” adds 10% owners and funds, trusts and other entities.
- Company size is the current market cap, not the cap on the trade date. A size that does not reconcile with the stock’s own trades shows as unknown.
- “Only buying” means no open-market sale in the window. Sales under a 10b5-1 plan are not counted either way.
- This shows what insiders did. It does not predict what a stock will do.
